We state that Vyoman India Private Limited (formerly known as Vyoman Tradelink India Private Limited) ("VIPL" or Acquirer) being one of the members of promoter and promoter group of the Target Company and holding 16 80 241 Equity Shares representing 38.35% of the paid up Equity Share capital of the Company have published the Detailed Public Announcement on January 25 2022 in the newspapers in terms of Regulation 15(1) of the SEBI Delisting Regulations for voluntary delisting of the Equity Shares from BSE the only recognized stock exchange where the Equity Shares are listed ("Stock Exchange") by making a delisting offer to acquire all Equity Shares that are held by the public shareholders of the Company (as defined under the SEBI Delisting Regulations to be referred to as "Public Shareholders") pursuant to and in accordance with the SEBI Delisting Regulations (Delisting Offer).
