Pursuant to Regulation 30 & 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 as amended (referred to as the SEBI Listing Regulations) we wish to inform you that the Board of Directors at their Meeting held on Monday 27th July 2026 has inter alia considered and approved the following:1. Appointment of Mr. Shankar Bhat (DIN: 11849888) as an Additional Non-Executive Independent Director on the Board of the Company w.e.f. 27th July 2026. The term of his appointment as an Independent Director will be for a period of 5 years and the appointment is subject to the approval of shareholders.2. Notice convening the 29th Annual General Meeting (AGM) to be held on Thursday 20 August 2026through Video Conferencing (VC)/Other Audio Visual Means (OAVM).
