Veljan Denison: Outcome of Board of Directors & Nomination & Remuneration Committee Meeting

Veljan Denison Ltd has informed BSE that the Board of Directors and Nomination & Remuneration Committee of the
Company at their meeting held on December 18, 2014:

1. Accepted the resignation dated December 03, 2014 received from the Managing Director Sri. Velamati Gangadhar Srinivas as Managing Director effective from January 01, 2015 and unanimously requested him to continue as Director of the Company to render his valuable services to the Company.

2. In Pursuance of Section 196, 197, Schedule V of the Companies Act, 2013, Companies (Appointment and Remuneration of Managerial Personnel) Rules 2014 read with Articles of the Company appointed Sri. Velamati Chandrasekhara Janardan Rao (presently Chairman (Director) of the Company) as Chairman & Managing Director of the Company effective from January 01, 2015 subject to the approval of Shareholders of the Company at the forthcoming General Meeting.
