In accordance with Regulation 30(4) read with Para B of Part A of Schedule III of the SEBI (LODR) Regulations 2015 ("LODR Regulations") and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2025/25 dated 25 February 2025 this is to inform that erstwhile Joint Managing Director of the Company Mr. Sameer Kanwar on the last day of his tenure i.e. 31 May 2026 has shared certain concerns regarding certain specific practices by Mr. Surinder Paul Kanwar Chairman & Managing Director of the Company.In accordance with the Companys robust corporate governance practices and to ensure transparency adequacy and regularity the Audit Committee of the Board of Directors of the Company in its meeting held on 15 June 2026 has appointed an external agency to carry out an impact assessment for the concerns raised. The said agency has been advised to provide their report within a reasonable period of time.You are requested to take the same on your record.
