In continuation to the previous intimations dated July 31st 2026 and August 13 2026 on the captioned matter we would like to further inform that the Scheme of Arrangement in the nature if merger/amalgamation of Royal Spinwell and Developers Private Limited(Transferor Company) with Royal Cushion Vinyl Products Limited (Transferee Company) and their respective shareholders and creditors under Section 230 and 232 and other applicable provisions of the Companies Act 2013 and rules made thereunder has become effective upon the certified copy of the Order of the Honble National Company Law tribunal Mumbai Bench dated July 28 2026 sanctioning the Scheme being field electronically with Registrar of Companies Maharshtra Mumbai through the requisite e-forms on the ministry of Corporate Affairs portal on August 30 2026 (Effective Date). The Scheme has become effective with effect from the Appointed Date being the opening of business on October 1 2021 as specified in the Scheme.
