We hereby inform you that a Meeting of Board of Directors of the Company held on Friday, 18th May 2018 at Bangalore, wherein the following items of agenda were discussed in line with the requirement of Regulation 25( 4) of SEBI (Listing Obligations and Disclosure Requirement) Regulations 2015, read with applicable provisions of Schedule IV of the Companies Act 2013.
1. Evaluated the performance of Non-Independent Directors, the Board as a whole and Sub-Committees against a set of pre-defined norms.
2. Evaluated the performance of the Chairperson of the Company against the objectives set at the beginning of the year.
3. Assessed the quality, quantity and timeliness of flow of information between the Company management and the Board against pre-defined norms.
