IFGL Refractories (Merged): Updates on Amalgamation/ Merger / Demerger

Please be informed that the Honble National Company Law Tribunal, Kolkata Bench by passing a combined Order on 3rd August, 2017 in CP (CAA) No. 216/KB of 2017 and CP (CAA) No. 217/KB of 2017 has sanctioned amalgamation of IFGL Refractories Ltd (Transferor Company) with IFGL Exports Ltd (Transferee Company) on and from 1st April, 2016. Following your above observation letter, under mentioned documents are submitted herewith.

a) Order dated 3rd August, 2017 of the Honble NCLT.
b) Report of NCLT appointed Chairman showing results of voting of shareholders
on the Scheme of Amalgamation.
c) Copy of observation letter issued by NSE
d) Compliance Status of observation letter.
e) Application seeking exemption from Rule 19(2)(b) of SCRR, 1957.
f) Complaints Report

Please be informed that while approving the Scheme of Amalgamation by the Honble NCLT did not make any changes therein.
