Quess Corp: Corporate Action-Updates on Amalgamation/ Merger / Demerger

In continuation of our letter dated February 18 2020 and pursuant to Regulation 37(6) of SEBI (Listing Obligation and Disclosure Requirements) Regulations 2015 read with SEBI Circular CFD/DIL3/CIR/2017/21 dated March 10 2017 we hereby submit the following documents:

(a) Certified true copy of the resolution passed by the Board of Directors and Administration and Investment Committee of the Board of the Company approving the draft Scheme of Amalgamation; and

(b) Scheme of Amalgamation between the Company and its wholly-owned subsidiaries being (i) Greenpiece Landscapes India Private Limited; (ii) Golden Star Facilities and Services Private Limited; (iii) MFX Infotech Private Limited; and (iv) Trimax Smart Infraprojects Private Limited the contents of which are self-explanatory

Further we confirm that we have paid the applicable fees i.e. Rs. 25 000 plus GST on the BSE Listing Centre portal (payment details are enclosed for your ready reference).
