This is to inform you that the Board of Directors of the Company on recommendation of the Audit Committee has considered and approved the acquisition of 100% stake in Silver Sage Trading LLC a single owner Limited Liability Company (LLC-SO) which is incorporated under the laws of the United Arab Emirates.The said LLC is engaged in the business of Trading of consumer household and industrial goods and products. The said LLC is having a readymade market with the existing customers.The consideration for the said acquisition mutually decided on the basis of Valuation Report is Rs. 1 25 00 000/- (Rupees One Crore Twenty Five Lakhs only). Accordingly on completion of the said investment the said Silver Sage Trading LLC will become the Wholly Owned Foreign Subsidiary of the Company pursuant to the provisions of Section 2(87) of the Companies Act 2013.
