With reference to our earlier intimations dated September 01 2025 October 15 2025 and December 15 2025 regarding the execution of the Share Purchase Agreement (SPA) among HFCL Limited (the Company) Trinity Tech Solutions (Buyer) and Nivetti Systems Private Limited (Nivetti) we wish to inform you that pursuant to an Addendum to the SPA executed today the transaction is now scheduled to be completed on or before June 30 2026 instead previously communicated date of March 15 2026.All other points disclosed as per SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11 2024 will remain unchanged as disclosed in our intimation dated September 01 2025.
