JSW Cement: Update On Securities Purchase Agreement Under Regulation 30 And Other Applicable Provisions Of The Securities And Exchange Board Of India (Listing Obligations And Disclosure Requirements) Regulations 2015.

This is in furtherance to the intimations made by JSW Cement Limited ("Company") on 7th November 2025 and 17th November 2025 intimating you inter alia of the execution of the Securities Purchase Agreement amongst Nuvoco Vistas Corporation Limited ("Purchaser") the Company (Seller 1) Alpha Alternatives Holdings Limited (Seller 2 therein) (together the "Sellers") and Algebra Endeavour Private Limited [the holding Company of Vadraj Energy (Gujarat) Limited having power plants at Kutch and Surat] ("Algebra") for the transfer of 100% of the securities of Algebra respectively held by the Sellers to the Purchaser (the "Securities Purchase Agreement"). This is to inform you that Sellers have today completed the transaction under the Securities Purchase Agreement and thereby transferred 100% of the securities of Algebra to the Purchaser.
