Srinivasa Hatcheries Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on December 04, 2014, inter alia, proposing to consider, and if deem fit, approve the delisting proposal request received from a part of the Companys Promoter Group pursuant to and in accordance with Regulation 8(1)(a) of SEBl (Delisting of Equity Shares) Regulations, 2009 of the Companys Shares from the BSE Limited and also to seek the approval of shareholders of the Company, thereafter, for the Delisting Proposal by way of postal ballot in accordance with the provisions of section 110 of Companies Act, 2013 read with the Companies (Management and Administration) Rules, 2014.
Further the Company has informed that, pursuant to the Code of Conduct for Prevention of Insider Trading of the Company in compliance of the SEBl Insider Trading Regulations, the Trading Window for dealing in the shares of the Company is closed with effective from November 27, 2014 to December 05, 2014 (both days inclusive), in connection with the aforesaid Board Meeting for considering the delisting proposal.
