Hind Rectifiers: Announcement under Regulation 30 (LODR)-Acquisition

The Board of Directors of Hind Rectifiers Limited at its meeting held on February 11 2026 have approved an investment of ?90 00 000/- (Rupees Ninety Lakhs only) by way of subscription to equity shares of Coincade Studio Private Limited (Coincade) a subsidiary of the Company in one or more tranches. The investment shall be made by subscribing to equity shares of Coincade having a face value of ?10/- (Rupees Ten only) each issued at par. Pursuant to the said investment the paid-up equity share capital of Coincade will increase from ?10 00 000/- (Rupees Ten Lakhs only) to ?1 00 00 000/- (Rupees One Crore only). The aforesaid investment is intended to strengthen the capital base of the subsidiary support its business expansion plans and meet its future operational requirements.
