On the recommendation of Nomination and Remuneration Committee the Board has considered and approved the appointment of Mrs. Himali Maheshbhai Thakkar (DIN: 10752931) as an Additional Director designated as Non-Executive Independent Director of the Company for an initial term of 5 (five) consecutive years with effect from July 27 2026 up to July 26 2031 subject to approval of the members in the ensuing Annual General Meeting (AGM) of the Company. Mrs. Himali Maheshbhai Thakkar is not related to any Director of the Company. Furthermore we confirm that appointed director meets the independence criteria specified under the Companies Act 2013 and SEBI Listing Regulations and she is not debarred from holding the office of Director by virtue of any order passed by SEBI or any other such authority.
