Sub: Change in the Auditor of the Company
Ref: Regulation 30(6) and rules 7A of part A of schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
We hereby inform you that In terms of the provisions of the Companies Act, 2013 (Act) statutory auditors need to be rotated on completion of two consecutive terms of five years each. For those of the Companies that have firms audit their accounts for more than ten years as of April 1, 2014, the act provided such companies a transition period of three years to comply with the provisions of the Act. The Current statutory auditors, M/s Rungta & Rungta, completed two consecutive terms as of April 1, 2014 and hence the Company availed the benefit of transition period which came to an end on March 31, 2017. Accordingly, the Company would need to appoint a new audit firm to audit its books of account for the year ending March 31, 2018.
Therefore, the Shareholders at its meeting held on 22nd September, 2017 has appointed M/s M/s K K S & CO, Chartered Accountant, firm having Registration No. 309111E for the Fy- 2017-18.
We herewith attached the forms filed with MCA along with the consent of auditor and the letter of his appointment.
